Constellation Energy Group, Inc. is a holding company whose businesses consist primarily of a domestic merchant energy business focused mostly on power marketing and
merchant generation in North America, and Baltimore Gas and Electric Company (BGE), a regulated electric and gas public utility distribution company. The Company's
domestic merchant energy business includes the operations of Constellation Power Source Holdings, Calvert Cliffs Nuclear Power Plant, Inc., and Constellation Nuclear,
LLC. Constellation Energy was incorporated in Maryland on September 25, 1995. On April 30, 1999, Constellation Energy became the holding company for BGE and its
subsidiaries. BGE is a regulated electric transmission and distribution utility company and a regulated gas distribution utility company with a service territory that
covers the City of Baltimore and all or part of ten counties in central Maryland. BGE was incorporated in Maryland in 1906. As of 2007 Constellation employed
approximately 9,700 full time people.

cooling and cogeneration facilities for commercial, industrial and governmental customers throughout North America, provide home improvements, service heating, air
conditioning, plumbing, electrical and indoor air-quality systems, and provide natural gas to residential customers in central Maryland. It also has several
investments, including financial investments, real estate projects, and interests in a Panamanian distribution facility and in a fund that holds interests in two South
American energy projects.
